1. Acceptance
By creating a workspace, generating an API key, or otherwise accessing Promethean ("the Service") provided by Promethean B.V. [TBD] ("Promethean", "we", "us"), you ("the Operator", "you") agree to be bound by these Terms. If you are accepting on behalf of a legal entity, you represent that you have authority to bind that entity.
2. The service
Promethean provides an accountability substrate for AI decisioning in regulated products: a runtime SDK that bounds LLM calls to a closed-enum contract, a signed hash-chained log of every call (the "L12 chain"), optional OpenTimestamps anchoring, an exportable audit bundle, and per-framework regulator handoff packets.
The Service is delivered as a hosted SaaS workspace and as SDK / verifier code that you run in your own infrastructure. The substrate's verifier and canonical-form specification are published under Apache 2.0 and may be inspected, forked, or re-implemented.
3. Account, eligibility, and API keys
You must be at least 18 years old and acting on behalf of a legal entity to use the paid tiers. You are responsible for keeping your API keys confidential and for all activity that occurs under your workspace. We will never ask you for your raw API key — we only store its SHA-256 hash. If you suspect a key has leaked, rotate it from the workspace dashboard immediately.
4. Tiers, pricing, and billing
Pricing for each tier is published at /pricing and is denominated in euros, exclusive of any applicable VAT.
- Dev · €0/month. Capped at 10,000 entries/month and 1 active spec.
- Team · €79 per active spec per month, billed monthly in advance.
- Production · €499 per month flat, billed monthly in advance.
- Scale · €1,199 per month flat, billed monthly in advance.
- Enterprise · €2,499 per month flat, billed monthly in advance.
Overage above your tier allowance is permitted up to 200% of the allowance; beyond that, ingestion is hard-capped. Overage is invoiced on the next billing cycle at the tier's per-entry rate published at /pricing. We may change pricing on 30 days' notice for new billing periods; in-period charges remain at the previously published price.
Payment is due on invoice. We accept SEPA direct debit and major credit cards via Stripe. We reserve the right to suspend a workspace whose invoices remain unpaid for more than 30 days after the due date, after at least 7 days' written notice.
5. VAT and tax
Prices are stated exclusive of VAT and any applicable taxes. For EU business customers providing a valid VAT identification number at signup, we apply the reverse-charge mechanism in accordance with Council Directive 2006/112/EC, Article 196. For consumers and businesses without a valid VAT number, Dutch VAT applies at the prevailing rate. You are responsible for providing accurate tax details and updating them when they change.
6. Acceptable use
Your use of the Service is governed by the Acceptable Use Policy, which is incorporated by reference. We may suspend or terminate workspaces that breach the AUP, with notice proportional to the severity of the breach.
7. Data and privacy
Promethean is PII-safe by construction: the L12 chain stores SHA-256 input hashes only, never raw input or output payloads. Our handling of personal data is governed by the Privacy Policy and, where you process personal data of EU data subjects, by the Data Processing Agreement.
7.5 US Protected Health Information (HIPAA)
For US Covered Entities and Business Associates within the meaning of the Health Insurance Portability and Accountability Act of 1996, the HITECH Act, and the implementing regulations at 45 C.F.R. Parts 160 and 164 ("HIPAA"), a Business Associate Agreement satisfying 45 C.F.R. § 164.504(e) is available only on the Enterprise tier and must be executed in writing before any Protected Health Information ("PHI") is processed through the Service. The Dev, Team, Production, and Scale tiers are not authorised for processing of US PHI; operators that are Covered Entities or Business Associates must upgrade to Enterprise and execute a BAA before any PHI flows through their workspace.
Promethean's substrate is designed to avoid PHI entering the L12 chain (the SDK hashes inputs before transmission so only SHA-256 digests are stored). The operator's source-data store and any upstream LLM provider, however, remain in HIPAA scope and require BAA coverage by the operator independently of this Agreement. Operators who require a Promethean BAA should contact legal@promethean.software.
8. Intellectual property
Promethean retains all rights, title, and interest in the Service, including the workspace dashboard, the hosted L12 chain, the API, and all related documentation. The substrate's SDK, verifier, canonical-form specification, and audit-bundle format are licensed separately under Apache 2.0 as published in the public repository.
You retain all rights to the specs you author, the inputs you process, and the outputs your product produces. We claim no ownership over your specs or your chain content. We may use aggregated, anonymised usage statistics to improve the Service.
9. Warranties and disclaimers
Promethean provides an accountability layer for AI decisioning. It is not a compliance attestation, it does not guarantee that your product complies with any law or regulation, and it is not legal advice. Regulator handoff packets enumerate evidence; they do not certify compliance. Your counsel is responsible for deciding whether the enumerated evidence satisfies the obligation in your deployment context.
Except as expressly stated in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI-generated outputs.
10. Limitation of liability
To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or relating to the Service or these Terms.
Each party's aggregate liability under or in connection with these Terms shall not exceed the total fees paid by the Operator to Promethean in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability for death or personal injury, fraud, or any other liability that cannot be excluded under Dutch law.
11. Term and termination
These Terms apply from the date you create a workspace until terminated by either party. You may cancel a paid tier at any time from the dashboard. Cancellation takes effect at the end of the then-current billing period; fees already invoiced for that period are non-refundable except where required by mandatory consumer-protection law. We may terminate or suspend your workspace for material breach of these Terms or the AUP with notice proportional to the severity of the breach.
On termination, you retain the right to export your workspace's chain and audit bundle for ninety (90) days. After that period, we may delete your workspace data, subject to any retention obligations under applicable law or our Privacy Policy.
12. Indemnification
You indemnify us against third-party claims arising from your breach of these Terms or the AUP, your operator-supplied data, or your unauthorised or unlawful use of the Service.
We indemnify you against direct third-party intellectual-property infringement claims against the Service itself (the substrate, the SDK, the verifier, the hosted dashboard), capped at the limit of liability in §10. This indemnity does not apply to claims arising from your modifications, your combination of the Service with other products, or your use beyond the licence granted in §8.
13. Force majeure
Neither party is liable for delay or failure to perform due to events beyond reasonable control (acts of God, war, terrorism, cyber-attack on shared infrastructure, governmental action, prolonged outage of a foundational sub-processor). The affected party will notify the other within 5 business days of the event's onset. If the event continues for more than sixty (60) days, either party may terminate the affected workspace without penalty, with pro-rata refund of pre-paid fees for the unused period.
14. Notice-and-action (EU DSA Art. 11)
To report content alleged to infringe intellectual-property rights or violate applicable law, contact legal@promethean.software with the URL and the basis of the claim. Promethean acts under the EU Digital Services Act (Regulation (EU) 2022/2065) point-of-contact mechanism. We respond to notices within ten (10) business days.
15. Survival
Sections 7 (Data and privacy), 8 (Intellectual property), 9 (Warranties), 10 (Limitation of liability), 12 (Indemnification), 16 (Governing law and disputes), and the post-termination obligations of the DPA survive termination of these Terms.
16. Changes to the terms
We may amend these Terms from time to time. Material changes will be communicated by email and posted at this URL at least 30 days before they take effect for in-period workspaces. Continued use of the Service after the effective date constitutes acceptance.
17. Governing law and disputes
These Terms are governed by Dutch law. The courts of Amsterdam, Netherlands have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where mandatory consumer-protection rules of another EU member state apply.
